Terms and Conditions

By registering for a Traspion account or using Traspion's services (the “Service”), you agree to these Terms and Conditions. Traspion (“the Company,” “we,” or “us”) is the provider of an online transcription service. These Terms constitute a binding agreement between you (the user) and Traspion. You must be at least 13 years old and able to form a binding contract in order to use the Service. If you do not agree to these Terms, you must not use the Service. We reserve the right to amend or update these Terms at any time; we will notify you of material changes in advance. Your continued use after any changes means you accept the new Terms.

• Account Creation: To use the Service, you must register for an account with accurate, complete information (name, email, etc.). You are responsible for maintaining the confidentiality of your login credentials.
• Account Ownership: Accounts are for individual or business users only (not for sharing among multiple people). You may not use another person's account.
• Account Deletion: You may delete your Traspion account at any time by using the account settings or contacting customer support. Upon account deletion, your active subscription will be cancelled immediately. All your account data and submitted content will be permanently removed from our systems (unless otherwise required by law).
• Account Termination for Violation: We reserve the right to suspend or terminate your account if you violate these Terms, engage in misuse, or act illegally. Misuse includes (but is not limited to) using the Service for unlawful purposes or in violation of applicable law. Traspion may terminate access at our discretion, with or without notice for any breach of these Terms or if fees are unpaid. Upon termination, your access ends immediately.

• Subscription Only (No Free Plan): Traspion offers only paid subscription plans on a monthly basis; there is no free or unlimited free trial plan. Each subscription plan includes a fixed allotment of transcription minutes per month. The specific features, price, and included minutes of each plan will be listed on our website or order form.
• Duration Rounding: For billing and minute-deduction purposes, Traspion charges and rounds up the duration of any uploaded media to the nearest higher integer. For example, a 1-minute and 15-second audio file will be billed as 2 minutes.
• Metered Usage: If you exceed your plan's allotted minutes in a given month, your use will be restricted or paused until you either upgrade to a higher plan or add pay-as-you-go minutes. Pay-as-you-go charges are billed at our standard per-minute rate.
• No Carry-Over / No Refunds: Any unused transcription minutes at the end of your billing cycle expire and do not roll over to the next month. We do not refund or credit you for unused minutes. All sales are final – subscription fees are non-refundable and non-prorated, even if you cancel mid-cycle or have leftover minutes. You waive any right to refunds or credits for unused time, except as required by law.
• Plan Changes (Upgrades/Downgrades): You may change your subscription level at any time via your account. Switching between plans will exterminate your old plan's remaining balance. Any upgrade or downgrade takes effect immediately, and we will charge the full monthly fee of the new plan at that time. We do not pro-rate or refund the fees for the remaining days of the old plan. When you switch plans, any unused minutes from your previous plan are forfeited immediately and will not carry over to the new plan.
• Billing Cycle & Payment: Subscription fees are billed in advance on a monthly cycle. Payments are collected via a valid payment method (credit card, etc.) that you provide. If a charge is declined or payment fails, we may retry the charge and suspend or terminate your Service until you pay the outstanding balance.
• Taxes: All fees are stated exclusive of applicable taxes. You are responsible for any sales tax, GST/VAT, or other fees due by law.

• Lawful Use Only: You may use Traspion for any purpose that is legal and permitted by these Terms. You must not use the Service to upload, transcribe, or store any content that is unlawful or violates the rights of others. Prohibited content includes (but is not limited to): illegal, infringing, defamatory, obscene, abusive, harassing, or harmful material. Using Traspion for illegal activity or to process illegal content is strictly forbidden.
• Acceptable Use: You agree to use reasonable precautions to avoid unauthorized use. You will not misuse the Service by attempting to breach security, distribute malware, overload our systems, or scrape data. Traspion may monitor usage to enforce these rules. If we detect prohibited content or abusive behavior, we may remove the content and/or suspend your account.
• User Content: You retain ownership of your transcripts and any content you submit for transcription. By submitting data to Traspion, you grant us a limited license to process that data and store it for the purpose of providing the Service.
• Intellectual Property: The Traspion platform, software, and all related intellectual property are owned by Traspion. You may not reproduce, modify, or distribute Traspion's proprietary software or trademarks. Any suggestions or feedback you provide may be used by Traspion without obligation.
• External Links/Services: Traspion may integrate with third-party services (APIs, cloud storage, etc.). Your use of such third-party services is subject to their own terms. Traspion is not liable for any issues arising from third-party services.

We aim to make Traspion available 24/7. We will use commercially reasonable efforts to keep the Service operational, but we do not guarantee continuous, uninterrupted operation. We disclaim any warranty that the Service will be error-free or meet any specific level of performance.

Maintenance and Downtime: We may schedule periodic maintenance (with notice) to update or improve the Service. During scheduled maintenance or emergency downtime, the Service may be unavailable.

Support: Support hours and response times, if any, will be described in our documentation or service agreement. Traspion's support is subject to change and may have separate terms.

• Termination by You: You may cancel your subscription and delete your account at any time. Account deletion immediately cancels your subscription and stops future billing, but does not entitle you to a refund for the current billing cycle (all fees are final). After cancellation or account deletion, your access ends, and your data will be removed or anonymized within a reasonable period.
• Termination by Traspion: We may suspend or terminate your account (and the Services) immediately if you breach these Terms, engage in fraud or illegal use, fail to pay fees, or otherwise misuse the Service. Upon termination, you lose access to your account and transcripts. We may delete your content from our servers (unless retaining it is required by law).
• Effect of Termination: Termination or suspension does not relieve you of obligations (such as payment for services already rendered). If your account is terminated for cause (e.g. for violations), we will not provide refunds for any prepaid fees. If we terminate without cause, any handling of prepayments will be governed by applicable law.

• Disclaimer of Warranties: To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Traspion expressly disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy, quality, or legality of transcripts. You understand and agree that any use of the Service is at your own risk.
• Human Transcription Review limitations: An accepted file for a Human Transcription review request does not guarantee you a perfect result. Extremely poor audio quality, heavy background noise, or unintelligible speech may prevent our reviewers from providing a fully accurate transcript, and such instances do not qualify for a refund.
• Limitation of Liability: Traspion's total liability to you for any claim arising from these Terms or the Service is limited to the amount of fees you have actually paid in the prior 12 months (or as otherwise required by law). In no event will Traspion be liable for indirect, special, incidental, or consequential damages, even if we have been advised of such damages. Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.

• Changes to Terms: We may revise these Terms at any time. If we make material changes, we will notify you and obtain consent if required by law. If you do not agree to the revised Terms, you must stop using the Service.
• Governing Law: These Terms will be governed by the laws of the jurisdiction in which Traspion is incorporated, excluding conflict-of-law rules. Any disputes will be resolved in the courts of that jurisdiction.
• Privacy: Your use of Traspion is also subject to our Privacy Policy (addressing how we handle your data) which is incorporated by reference.
• Severability: If any provision of these Terms is held invalid, the remainder will continue in full force.
